These Terms & Conditions (“Terms”) govern your use of offbooks.ai, including our waitlist, free tools, magazine, and newsletter (together, the “Site”). The Site is operated by Lumenridge Studio (“OffBooks”, “we”, “us”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

OffBooks is a pre-launch product. The Site today exists to share what we’re building, offer free tools, and let you join the waitlist. These Terms will be expanded when the product itself launches.

Who can use the Site

You must be at least 16 years old and able to form a binding contract to use the Site. If you use the Site on behalf of a company, you represent that you’re authorized to accept these Terms for it.

The Site and free tools

We provide the Site, its content, and its free tools “as is” for general information and to help you plan your agency’s finances. The free tools (such as the invoice generator) run in your browser and are provided for convenience — their outputs are estimates and templates, not a substitute for professional advice. We may change, suspend, or discontinue any part of the Site at any time.

Acceptable use

When using the Site, you agree not to:

• Break the law, infringe others’ rights, or use the Site for anything harmful or fraudulent.
• Attempt to disrupt, overload, reverse-engineer, or gain unauthorized access to the Site.
• Scrape, copy, or republish our content except as expressly permitted.
• Misrepresent your identity or submit someone else’s information without permission.

Newsletter and communications

If you subscribe to our newsletter or join the waitlist, you agree to receive related emails from us. You can unsubscribe at any time using the link in any email. Your information is handled as described in our Privacy Policy.

Intellectual property

The Site, including its content, branding, design, and software, is owned by OffBooks or its licensors and is protected by intellectual property laws. We grant you a limited, personal, non-exclusive license to view and use the Site for its intended purpose. You may share links to our articles and quote short excerpts with attribution; all other rights are reserved.

Third-party links and services

The Site may link to third-party websites or rely on third-party services. We don’t control those third parties and aren’t responsible for their content, products, or practices. Your use of them is at your own risk and subject to their terms.

No professional advice

Content and tools on the Site are for general informational purposes only and are not accounting, tax, legal, or financial advice. You should consult a qualified professional before making decisions based on anything you find here.

Disclaimers

The Site and free tools are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy, or non-infringement. We don’t warrant that the Site will be uninterrupted, error-free, or secure.

Limitation of liability

To the fullest extent permitted by law, OffBooks and Lumenridge Studio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or related to your use of the Site — even if we’ve been advised of the possibility. Our total liability for any claim relating to the Site will not exceed USD 100.

Indemnification

You agree to indemnify and hold harmless OffBooks and Lumenridge Studio from any claims, damages, or expenses arising out of your misuse of the Site or your violation of these Terms.

Governing law

These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-laws rules. The courts located there will have exclusive jurisdiction over any dispute, subject to any mandatory consumer-protection rights you have where you live.

Changes to these Terms

We may update these Terms from time to time. When we do, we’ll revise the “Last updated” date above. Your continued use of the Site after changes take effect means you accept the updated Terms.
